These Terms of Service (“Terms”) are a binding agreement between [LEGAL ENTITY NAME] (“BSuit”, “we”, “us”) and the entity or person agreeing to them (“you”, “Customer”). By creating a workspace or using the BSuit cloud ERP and website (the “Service”), you agree to these Terms. Enterprise customers may instead sign a separate Master Services Agreement, which controls in case of conflict.

1. Accounts & eligibility

You must provide accurate signup information and are responsible for all activity under your account and for keeping credentials secure. You must have authority to bind your organization. The Service is for business use by users aged 16+.

2. Trial & subscriptions

The free trial provides a full workspace for the stated period with no card required, on an “as is” basis. Paid plans are billed in advance and renew for successive terms until cancelled; fees are described on the Pricing page. Plan changes are prorated. Trials convert to a paid plan only if you choose one.

3. Fees, taxes & payment

Fees are exclusive of taxes; you are responsible for applicable VAT/GST/sales tax. Except where required by law or expressly stated, fees are non-refundable. Late or failed payments may result in suspension after reasonable notice.

4. Acceptable use

You agree not to: break the law; infringe others' rights; upload malware; attempt to gain unauthorized access; disrupt or reverse-engineer the Service (except as permitted by law); or resell or sublicense the Service without our written consent. We may suspend accounts that pose a security, legal or operational risk.

5. Customer data & ownership

As between the parties, you own all data you submit to your workspace (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide and secure the Service, as described in our Privacy Policy and Data Processing Addendum. You may export your data at any time while your account is active.

6. Intellectual property

We and our licensors retain all rights in the Service, software, and brand. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used to improve the Service.

7. Availability & support

We aim for high availability and will provide support per your plan. Specific uptime commitments and remedies, if any, are set out in an applicable Service Level Agreement (SLA) for Enterprise plans. We may modify or discontinue features with reasonable notice.

8. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

9. Warranties & disclaimers

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, and each party's aggregate liability is limited to the amounts paid by you for the Service in the [12] months preceding the claim. Nothing limits liability that cannot be limited by law.

11. Indemnification

Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms or, for you, from your Customer Data or use of the Service in violation of these Terms.

12. Term & termination

These Terms apply while you use the Service. Either party may terminate for material breach not cured within [30] days' notice. On termination, your access ends and Customer Data is handled as described in the Privacy Policy and DPA.

13. Governing law & disputes

These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of its courts, except where mandatory consumer law provides otherwise.

14. Changes to these Terms

We may update these Terms; material changes will be posted here with an updated effective date and, where required, communicated to you. Continued use after changes take effect constitutes acceptance.
